1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and tipmarket ("Company," "we," "us," or "our"), a California-based company operating the tipmarket platform at tipmarket.co (the "Platform"). By accessing, browsing, or using the Platform, creating an account, purchasing a subscription, or posting content, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of such changes.

2. Eligibility & Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to access or use the Platform. By creating an account or using the Platform, you represent and warrant that you meet this age requirement.

The Platform is not directed to individuals under 18. We do not knowingly collect personal information from minors. If we become aware that a user is under 18, we will terminate their account and delete their data promptly.

You further represent that you are legally permitted to use the Platform in your jurisdiction. It is your sole responsibility to determine whether accessing or using the Platform complies with applicable laws in your location, including any laws related to sports betting, gambling, or the sale of information services.

Geographic Restrictions: Certain features of the Platform, including the purchase and sale of paid picks, subscriptions, and paid storefronts, are not available in all U.S. states. We use IP-based geolocation to restrict paid transactions in states where regulatory conditions make the operation of a sports picks marketplace legally impermissible. Users in restricted states may still access free content, follow tipsters, and post free picks. The list of restricted states may change at any time without notice as regulatory conditions evolve. Attempting to circumvent geographic restrictions (including through VPNs or proxy services) is a violation of these Terms and may result in account termination.

3. Account Registration & Security

To access certain features, you must create an account with accurate, current, and complete information. You agree to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to:

Create only one account per person
Notify us immediately of any unauthorized access to your account
Not share, sell, or transfer your account to any third party
Not use another person's account without their permission

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

4. Platform Description & Entertainment Disclaimer

IMPORTANT DISCLAIMER: tipmarket is an informational and entertainment platform only. The content on the Platform, including sports picks, predictions, analysis, and commentary, consists entirely of opinions and is provided for entertainment and informational purposes only. Nothing on the Platform constitutes financial advice, investment advice, gambling advice, or an inducement, invitation, or recommendation to place a wager.

tipmarket is a marketplace that enables users to share sports opinions ("picks") on upcoming games across leagues including the NBA, NFL, MLB, and NCAAB. The Platform provides features including:

Posting and viewing sports predictions and analysis
Following other users and subscribing to premium content
Viewing real-time scores, odds data, and game information
Auto-grading of predictions based on actual game outcomes
Community features including game chat and reactions

No guarantee of accuracy. tipmarket does not guarantee the accuracy, reliability, or completeness of any content on the Platform, including user-posted picks, accuracy statistics, odds data, or game information. Past performance of any user does not guarantee future results. You acknowledge that sports outcomes are inherently unpredictable and that all picks are subjective opinions, not predictions of certain outcomes.

Not a gambling operator. tipmarket does not accept, process, facilitate, or broker any sports wagers. We are not a sportsbook, betting exchange, or gambling operator. We do not have any affiliation with or endorsement by any sportsbook or gambling operator unless explicitly stated.

Odds data. Betting odds and lines displayed on the Platform are provided for informational purposes only and are sourced from third-party data providers. Odds may not reflect real-time pricing and should not be relied upon for wagering decisions. Always verify odds directly with a licensed sportsbook before placing any wager.

5. Subscriptions, Billing & Cancellation

5.1 Subscription Plans

Certain content on the Platform is designated as premium ("PRO") and accessible only through paid subscriptions to individual content creators ("Sellers"). Subscription prices are set by Sellers and are displayed before purchase. All prices are in United States Dollars (USD).

5.2 Payment Processing

All payments are processed by our third-party payment processor, Whop, Inc. ("Whop"). By making a purchase, you also agree to Whop's Terms of Service. tipmarket does not store your credit card information. A combined platform and processing fee of 5% + 30¢ per transaction is deducted from each payment before the Seller receives their payout.

5.3 Automatic Renewal

Subscriptions automatically renew on a 30-day billing cycle unless you cancel before the next renewal date. By subscribing, you expressly consent to automatic recurring charges at the then-current rate until you cancel. You will receive a confirmation of your subscription terms, including the price, billing cycle, and cancellation instructions at the time of purchase.

5.4 Free Trials

Some Sellers may offer free trial periods. If you sign up for a free trial, your payment method will be charged at the stated subscription price at the end of the trial period unless you cancel before the trial expires. We will send a reminder email before your trial converts to a paid subscription.

5.5 Cancellation

You may cancel any subscription at any time through your account settings on the Platform. Cancellation is effective immediately. After cancellation, you will retain access to the subscribed content until the end of your current billing period. No partial refunds will be issued for unused portions of a billing period unless otherwise required by applicable law.

To cancel a subscription, navigate to Settings → My Subscriptions and select "Cancel" next to the relevant subscription.

5.6 Refunds

Refund eligibility is determined on a case-by-case basis. You may request a refund within 3 days of a charge by contacting us at admin@tipmarket.co. Refunds for Seller bans or content removal will be prorated automatically. We reserve the right to deny refund requests that appear fraudulent or abusive.

5.7 Price Changes

Sellers may change their subscription prices. Any price change will take effect at the start of your next billing cycle. You will be notified by email of price changes that affect your active subscriptions and may cancel before the new price takes effect.

6. Seller Terms & Obligations

Users who sell subscriptions on the Platform ("Sellers") agree to the following additional terms:

6.1 Seller Eligibility

You must be at least 18 years old, a legal resident of a jurisdiction where selling information services is permitted, and must provide accurate payout information. Paid storefronts are not available in states where geographic restrictions apply (see Section 2). Sellers are responsible for complying with all applicable tax obligations including income reporting. Whop may issue IRS Form 1099-K to Sellers who meet applicable reporting thresholds.

6.2 Content Standards

Sellers must post genuine, original analysis and predictions. Sellers shall not:

Post fabricated, plagiarized, or misleading picks or records
Guarantee wins or specific outcomes, or represent that their picks eliminate risk
Manipulate the Platform's auto-grading system
Engage in deceptive marketing or exaggerate past performance
Offer picks that facilitate illegal gambling activity

6.3 Revenue & Payouts

Seller payouts are handled by Whop and subject to Whop's payout schedule and policies. A combined platform and processing fee of 5% + 30¢ per transaction is deducted from each payment (comprising Whop's standard processing fee of 2.7% + 30¢ and tipmarket's platform fee of 2.3%). tipmarket does not hold, manage, or transmit Seller funds — all financial operations are conducted by Whop and its payment partners.

6.4 Independent Contractors

Sellers are independent users of the Platform, not employees, agents, or representatives of tipmarket. tipmarket does not endorse, verify, or guarantee the quality, accuracy, or profitability of any Seller's content.

7. User-Generated Content

7.1 Ownership

You retain ownership of content you post on the Platform ("User Content"). However, by posting User Content, you grant tipmarket a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, distribute, and create derivative works from your User Content in connection with operating and promoting the Platform.

7.2 Content Responsibility

You are solely responsible for your User Content. tipmarket does not endorse, verify, or assume liability for any User Content. We act as a neutral platform and do not pre-screen User Content, although we reserve the right to remove any content at our sole discretion.

7.3 Content Removal

We reserve the right, but have no obligation, to monitor, edit, or remove User Content that we determine, in our sole discretion, violates these Terms, is objectionable, or may expose tipmarket to legal liability. If you believe content on the Platform infringes your rights, contact us at admin@tipmarket.co.

8. Prohibited Conduct

You agree not to:

Violate any applicable law, regulation, or these Terms
Use the Platform for any illegal gambling activity, money laundering, or fraudulent purpose
Post content that is defamatory, obscene, hateful, threatening, or constitutes harassment
Impersonate another person or entity, or misrepresent your affiliation
Create fake accounts, manipulate statistics, or game the Platform's systems
Scrape, data-mine, or use automated tools to access the Platform without authorization
Interfere with or disrupt the Platform's infrastructure or security
Reverse-engineer, decompile, or attempt to extract the Platform's source code
Use the Platform to promote competing services without authorization
Circumvent any access restrictions, paywalls, or content protections
Send spam, unsolicited messages, or chain messages through Platform features
Upload viruses, malware, or other harmful code

9. Intellectual Property

The Platform, including its design, code, features, logos, trademarks, and all original content created by tipmarket, is the exclusive property of tipmarket and is protected by copyright, trademark, and other intellectual property laws. "tipmarket," the tipmarket logo, and related marks are trademarks of tipmarket.

You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse-engineer or attempt to extract the source code, except as expressly permitted by law or with our written consent.

Sports data, odds, scores, and statistics displayed on the Platform are sourced from third-party providers and remain the property of their respective owners. Team names, logos, and league marks referenced on the Platform are trademarks of their respective organizations and are used for informational purposes only.

10. Gambling & Responsible Gaming Disclaimer

tipmarket does not operate, endorse, or facilitate gambling of any kind. The Platform is an information service that provides sports opinions and entertainment content. You acknowledge that:

Any decision to place a wager is made entirely at your own risk and discretion
tipmarket bears no responsibility for any financial losses resulting from gambling decisions
Sports betting may be illegal in your jurisdiction — it is your sole responsibility to comply with local laws
You should never wager more than you can afford to lose
Past performance data displayed on the Platform does not guarantee future results
Odds data is provided for informational reference only and may not reflect current lines

tipmarket actively restricts paid transactions in U.S. states where regulatory conditions make the Platform's paid services legally impermissible. However, geographic restrictions do not constitute legal advice, and you remain solely responsible for complying with all applicable laws in your jurisdiction.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL TIPMARKET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

Your use of or inability to use the Platform
Any content, picks, predictions, or advice posted by users on the Platform
Any gambling or wagering decisions you make based on information obtained through the Platform
Unauthorized access to or alteration of your data or account
Actions or inactions of third-party services, including payment processors
Service interruptions, errors, or downtime

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO TIPMARKET IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless tipmarket, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights; or (f) any gambling or wagering activities undertaken by you.

13. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

13.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at admin@tipmarket.co and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Los Angeles County, California, or at another mutually agreed-upon location, or virtually. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND TIPMARKET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of a small claims court may also be brought in such court.

13.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

14. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, including for violation of these Terms. You may close your account at any time through the Settings page or by contacting us at admin@tipmarket.co.

Upon termination: (a) your right to use the Platform ceases immediately; (b) we may delete your data in accordance with our Privacy Policy and data retention schedule; (c) any outstanding subscription payments remain due; (d) Sections 7, 9, 11, 12, 13, and 16 survive termination.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Non-material changes may take effect immediately upon posting. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Platform and close your account.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and tipmarket regarding the Platform.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure. tipmarket shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
